Source text - English 9. - Applicable Law and settlement of disputes
A) THE PARTIES are agreed that this Contract shall be governed by the Laws of the Republic of Cuba.
B) THE PARTIES agree that any dispute arising out of this Contract shall be settled amicably.
C) If THE PARTIES fail to reach an amicable settlement, then it will be submitted for settlement before the Arbitration Court of the Chamber of Commerce of the Republic of Cuba.
D) Arbitration will take place in the Republic of Cuba, under Cuban Law, using the Spanish language.
E) THE PARTIES agree to accept, acknowledge and immediately comply with the decisions of the Arbitrators concerning the dispute that is submitted to them.
F) The Contract may be rescinded for the following reasons:
i) By agreement of THE PARTIES.
ii) Judicial declaration of bankruptcy by either of THE PARTIES.
iii) If the period of validity of the Contract has run out.
iv) Non-fulfilment by either of THE PARTIES of the obligations contracted in this Contract in such a way that seriously affects the interests of THE PARTIES and which it has not been possible to resolve by any of the procedures stipulated in Section 9C of this Contract
v) The occurrence of an act of God or event of force majeure which prevents fulfilment of the Contract, subject to provisions of clause 10.F.
G) When one of THE PARTIES requests termination of the Contract in the event that any of the suppositions 9.F ii), iii), iv), v) above occurs, they must give notification three (3) months in advance of the proposed date of rescission in the form of a simple letter addressed to the other party stating reasons for rescission.
h) The closure of this Contract for any of the reasons set out in clause 9.F shall be without prejudice for the fulfilment by THE PARTIES of obligations incurred in respect of third parties
10.- Force Majeure and Acts of God
A) Causes deemed to be exemptions from contractual responsibility shall be those which after the signing of the contract prevent its partial or complete performance and pertain to natural or social occurrences or any other event or circumstance beyond the control of THE PARTIES under any form of civil liability.
B) The burden of proof of Force Majeure or an Act of God rests with THE PARTY claiming it, and the necessary elements must be presented to show the event.
C) THE PARTY whose capacity to fulfil contractual obligations was affected or restricted by the occurrences described above shall as soon as possible notify the other in writing and in no case later than within 30 days of the event occurring.
D) BOTH PARTIES shall endeavour to carry out whatever actions are required to minimise the effects of the occurrence and to avoid major consequences, without having the right mutually to exact compensation or considerations.
E) THE PARTY which by virtue of duly proven Force Majeure or Act of God was exempted from responsibility for non-fulfilment of its obligations shall be so solely and exclusively for as long as the period of the event or the incapacity which the latter brought about lasts and must at all times meet and assume such obligations before and after the date its incapacity to fulfil them was maintained.
F) If the effects of Force Majeure should exceed six (6) months, either of THE PARTIES may terminate the Contract, with prior notice to the other in writing, and contractual obligations for BOTH PARTIES shall be cancelled.
Translation - Spanish 9. Ley aplicable y resolución de conflictos
A) LAS PARTES convienen en que este contrato se rija según las Leyes de la República de Cuba.
B) LAS PARTES acuerdan que cualquier disputa que surja de este contrato se resolverá de forma amistosa.
C) EN CASO DE QUE LAS PARTES no lleguen a una resolución amistosa, la disputa o conflicto se presentará para su resolución ante el Tribunal Arbitral de la Cámara de Comercio de la República de Cuba.
D) El arbitraje tendrá lugar en la República de Cuba, en virtud de la Ley cubana, usando el idioma español.
E) LAS PARTES se comprometen a aceptar, reconocer y cumplir inmediatamente las decisiones adoptadas por los miembros del Tribunal Arbitral en relación con la disputa presentada ante ellos.
F) El contrato podrá ser rescindido por los siguientes motivos:
i) Por acuerdo de LAS PARTES
ii) Por declaración judicial de quiebra por cualquiera de LAS PARTES.
iii) En caso de que venza el periodo de validez del contrato.
iv) Por incumplimiento por cualquiera de LAS PARTES de las obligaciones asumidas en este contrato en tal modo que afecte seriamente a los intereses de LAS PARTES y el cual no haya podido ser resuelto a través de ninguno de los procedimientos estipulados en el Artículo 9C del presente contrato.
v) Por el acontecimiento de un acto de la naturaleza o en caso de fuerza mayor que impidan el cumplimiento del contrato, a reserva de lo estipulado en la cláusula 10.F
G) Cuando una de LAS PARTES solicite la rescisión del contrato en caso de que tenga lugar cualquiera de los supuestos 9.F ii), iii), iv) v) arriba expuestos, deberá notificarlo tres (3) meses antes de la fecha propuesta para rescindir el contrato a través de una carta dirigida a la otra parte en la que se expongan los motivos para la rescisión.
H) La rescisión del presente contrato por cualquiera de los motivos expuestos en la cláusula 9.F tendrá lugar sin prejuicio del cumplimiento de las obligaciones que LAS PARTES tuvieran con terceros.
10. Fuerza Mayor y Actos de la naturaleza
A) Se podrán considerar causas de exención de responsabilidad contractual aquellas que tras la firma del contrato impidan su ejecución parcial o total y pertenezcan a acontecimientos naturales o sociales o cualquier otro evento o circunstancia ajenos al control de LAS PARTES bajo ninguna forma de responsabilidad civil.
B) El peso de probar la Fuerza Mayor o un Acto de de la naturaleza recae sobre LA PARTE que lo alega, y deben presentarse elementos necesarios que demuestren el hecho.
C) LA PARTE cuya capacidad de cumplir obligaciones contractuales se vea afectada o restringida por los acontecimientos arriba descritos deberá, tan pronto como le sea posible, dar aviso a la otra por escrito dentro de los 30 primeros días a partir de la fecha del suceso.
D) AMBAS PARTES harán todo lo posible para llevar a cabo las medidas que sean necesarias para minimizar los efectos de los acontecimientos y para evitar mayores consecuencias y no tendrán derecho a exigirse mutuamente compensaciones ni prestaciones.
E) LA PARTE que se ha visto exenta de responsabilidades por el incumplimiento de sus obligaciones en virtud de un caso de fuerza mayor o Acto de de la naturaleza debidamente probados lo estará única y exclisivamente mientras dure el periodo del suceso o la incapacidad que éste expuso y deberá cumplir y asumir en todo momento dichas obligaciones antes y después del periodo que dure la incapacidad para cumplirlas.
F) Si los efectos de la Fuerza Mayor pasan de los seis (6) meses, cualquiera de LAS PARTES podrá rescindir el contrato, tras el envió de notificación escrita, y las obligaciones contractuales de AMBAS PARTES serán canceladas.
