Source text - English 1. What makes Roman law so admirable?
Law and economics aids us in understanding why Roman law is still worthy of admiration and emulation, what constitutes the “genius” of Roman law.
For purposes of this paper, “Roman law” means the legal system of the Roman classical period, from about 300 B.C. to about 300 A.D. I will not attempt the tiresome job of being or trying to be a legal historian in this paper. In the manner of German pandect science, let us stipulate that I may arbitrarily choose certain parts of Roman law as being especially noteworthy to the design of an ideal private law system. This paper discusses legal scholarship from the ius commune. It will also discuss a few Greek philosophical ideas which I believe are important in the Roman legal system. Finally, the “ideal” system based on Roman law will be compared to modern French and German civil law.
I argue that the admirable character of Roman law is its quality as an (almost) paradigmatic private law system. Understanding how a system of private law works is relevant for economic liberalization. My discussion of Roman law illustrates how private law aligns incentives for people to (1) exert efforts and (2) share information. Roman private law also enables people, who face resource constraints and incentive constraints, to act (1) in their own interest and, when efficient, to act (2) in the interest of others. Without the law of obligations, people cannot credibly be expected to act in the interest of others. Moreover, this paper argues that without the law of property people will even fail to act in their own interest.
This paper demonstrates that what is admirable about Roman private law is its quality as a mechanism of communication that allows people to decentralize the management of resources. Roman private law makes possible a decentralized social order and the market, without mediation by public law. German civil law recognizes the private Rechtsordnung as a subsidiary source of legal authority (Berkowitz 2005.) Yet civil law scholars are unable to say precisely what is the private legal order. Law and economics may provide the answers.
Translation - Spanish 1. ¿Qué hace que el Derecho romano sea tan admirable?
El análisis económico del Derecho nos ayuda a entender por qué el Derecho romano es aún hoy digno de admiración e imitación: y en qué consiste la “genialidad” del Derecho romano.
A los fines de este artículo, entendemos por “Derecho romano” el sistema jurídico vigente en Roma en el período que se extiende desde aproximadamente el 300 a.C. hasta el 300 d.C. Con este trabajo no pretendo ni quisiera convertirme en ni parecerme a un tedioso historiador del Derecho. A la sazón de un científico pandectista alemán, permítanme que elija arbitrariamente algunas áreas del Derecho romano que son especialmente relevantes para el diseño de un sistema ideal de Derecho privado. Este artículo trata sobre la doctrina jurídica del ius commune. Asimismo, me referiré a algunas ideas de la filosofía griega que estimo importantes para entender el sistema jurídico romano. Como colofón, el sistema “ideal” basado en el Derecho romano será contrastado con los modernos Derechos civiles francés y alemán.
Sostengo la tesis que lo que hace admirable al Derecho romano es su cualidad de ser un sistema (cuasi) paradigmático de Derecho privado. Entender cómo funciona un sistema de Derecho privado sirve para entender cómo funciona la liberalización económica. El debate en torno al Derecho romano ilustra acerca de cómo un sistema de Derecho privado logra alinear los incentivos para que los individuos puedan (1) realizar esfuerzos (2) y compartir información. El Derecho romano privado también permite que individuos que enfrentan limitaciones de recursos y de incentivos, actúen (1) en su propio interés y también, cuando ello sea eficiente, (2) en interés de otros. Si no existiera un Derecho de obligaciones, no podría esperarse, de manera creíble, que los individuos actúen en interés de otros. Además, en este trabajo sostengo que si no existiera Derecho de bienes los individuos ni siquiera acturarían en interés propio.
Este artículo demuestra que lo que hace admirable al Derecho romano es su cualidad de ser un mecanismo de comunicación que permite que los individuos descentralicen la administración de recursos. El Derecho privado romano hace posible la descentralización del órden social y del mercado, sin la intervención externa del Derecho público o del Estado. El Derecho civil alemán reconoce el sistema privado, Rechtsordnung, como una fuente de Derecho subsidiaria (Berkowitz 2005.) Sin embargo, los estudiosos del Derecho no son capaces de definir con precisión qué es el órden jurídico privado. El análisis económico del Derecho provee la respuesta.
El presente trabajo se organiza de la siguiente manera: La segunda parte trata sobre el Derecho privado romano de propiedad, de las obligaciones, del comercio y de las finanzas. La tercera parte trata sobre los aspectos procesales del sistema jurídico romano. La cuarta y última parte sugiere cómo el análisis económico del Derecho puede ayudar a los estudiosos del Derecho civil latinoamericano a reorganizar el sistema de las Pandectas reformulando el Derecho civil para el siglo veintiuno.

O Novo Código Civil, em seu artigo 421, trata da “função social do contrato” como um limitador da “liberdade contratual”. O conteúdo e extensão desta verdadeira “norma programática” somente podem ser bem compreendidos se entendido e examinado o paradigma teórico em que tal princípio foi concebido – ou seja, o solidarismo jurídico (também aqui chamado de Direito Social). Se a doutrina e a jurisprudência começam a desenhar a sua significação dogmática nos casos concretos (como a prevalência de interesses coletivos sobre individuais) , cumpre aqui resgatar a origem do modelo welfarista de contrato na história do pensamento jurídico e dotar aquela tão vaga norma de um contexto teórico fundante, a fim de que se possa balizar a interpretação judicial nos casos surgidos perante o Poder Judiciário em conflitos atinentes a relações contratuais. Como se verá, a compreensão desse novo paradigma significa admitir uma nova concepção de sociedade e de contrato social, de Estado e dos institutos jurídicos tradicionais como o contrato.

El Nuevo Código Civil, en su artículo 421, trata la "función social del contrato" como una limitación a la "libertad contractual". El contenido y la extensión de esta verdadera "norma programática" solo puede ser cabalmente comprendido si entendemos y examinamos el paradigma teórico en el cual dicho principio fue concebido – o sea, la solidaridad jurídica (también llamado en éste artículo Derecho Social). Si bien la doctrina y la jurisprudencia comienzan a delinear su significado a través de casos concretos (como la prevalencia de los intereses colectivos por sobre los individuales) , corresponde aquí analizar el origen del modelo welfarista del contrato a través de la historia del pensamiento jurídico para dotar así a ésta vaga regla de un contexto teórico justificador, a fin de hacer previsible la interpretación judicial en los casos que se presenten por ante el Poder Judicial sobre conflictos relativos a cuestiones contractuales. Como se verá más adelante, la comprensión de este nuevo paradigma lleva a aceptar una nueva concepción de la sociedad y del contrato social, del Estado y de los institutos jurídicos tradicionales, como el contrato.
