Source text - English The Brazilian Corporate Law also prohibits directors and executive officers from: (i) utilizing our assets to engage in acts that are detrimental to us; (ii) receiving, except as authorized by our by-laws or by our shareholders at a general meeting, any type of direct or indirect personal advantage from third parties; and (iii) participating in any corporate transaction or in deliberations of our board of directors regarding corporate transactions in which they have an interest that conflicts with ours.
Under the Novo Mercado regulations, we must disclose to BM&FBOVESPA every contract we enter into with our subsidiaries, affiliates, managers, controlling shareholders or companies controlled by or affiliated with our managers or controlling shareholders and with other companies that in fact or law are part of the same group as any of these, whenever a single contract or successive contracts, whether or not they are for the same purpose, total at least R$200,000 or at least 1.0% of our shareholder equity, whichever is larger, in any one year period.
The disclosure must state the purpose of the contract, its term, amount, conditions for rescission or termination and any influence the contract has on our management and the conduct of our business.
We have adopted corporate governance practices recommended and/or required by law, including those provided for in the Novo Mercado Regulations. Decisions regarding all of our related party transactions are submitted to our board of directors, executive committee and fiscal council, according to the authority described in our bylaws. As such, all of our transactions, and especially those with related parties, are properly submitted to the appropriate decision-making bodies of the company.
Additionally, in accordance with the Brazilian Corporate Law, any member of the board of directors is prohibited from voting in any general meeting or board meeting and or from acting in any transaction or business in which his or her interests conflict with ours. Our related party transactions are entered into on arms-length terms and are supported by proper prior evaluations conducted regarding their conditions and of our good faith in carrying them out.
