ABCD International is belanghebbende in deze zaak.
De zitting is gehouden in een van de zalen van Vergadercentrum Noord Holland te Amsterdam.
Tegenwoordig zijn mr. M.M.H. Schrijvers (voorzitter), prof. mr. E.E. Konijn, mr. M.D. Achterveld (leden van het college) en mr. M.L Biesmont (secretaris).
Voorst zijn aanwezig:
- Company X et. al, vertegenwoordigd door mr. R. Oxtel;
- MPAC, vertegenwoordigd door prof. Bert de Kraan en J.K.L. Porter;
- ABCD International, vertegenwoordigd door R. Markenburg.
Bovendien is er een aantal belangstellenden aanwezig.
De voorzitter opent de hoorzitting. Voordat hij mr. Oxtel het woord geeft, merkt hij op dat de partijen en ABCD International op 20 maart 2011 zijn geïnformeerd over een mogelijk belangenconflict met betrekking tot de voorzitter en de secretaris. Partijen en ABCD International zijn daarbij in de gelegenheid gesteld eventuele bezwaren tegen doorgang van de hoorzitting op 23 maart 2011 kenbaar te maken. De voorzitter biedt nogmaals zijn excuses aan voor het late tijdstip waarop partijen en ABCD International hierover zijn geïnformeerd. Hij constateert dat de zitting doorgang zal kunnen vinden, omdat partijen noch ABCD International daartegen bezwaar hebben gemaakt.
Mevrouw J.K.L. Porter merkt naar aanleiding daarvan op dat ‘she was displeased’ met de gang van zaken en met name de late termijn van de kennisgeving. Ze bevestigt dat de zitting doorgang kan vinden.
De voorzitter geeft daarop het woord aan mr. Oxtel die de standpunten van Company X et. al. aan de hand van zijn pleitaantekeningen toelicht.
Vervolgens geeft de voorzitter het woord aan de heer Bert de Kraan, die de standpunten van MPAC aan de hand van pleitaantekeningen toelicht.
Naar aanleiding van deze toelichtingen, stellen de voorzitter en mr. Achterveld de heer de Kraan enkele vragen. Die vragen zien op de taak van MPAC en hoe MPAC ermee om zou gaan indien vast zou komen te staan dat er toch sprake blijkt te zijn van ‘non conformities’ onder nationale ABCD systemen. De heer de Kraan licht toe dat MPAC een soepele benadering heeft, waarbij de context in acht wordt genomen, als het gaat om de criteria, maar een strikte benadering als het gaat om de principes. Met betrekking tot de sancties in geval van non-conformiteiten geeft hij aan dat er meerdere sancties denkbaar zijn, afhankelijk van de vraag of het nationale ABCD systeem en vervolgens ABCD International zelf al stappen heeft ondernomen met betrekking tot die non-conformiteiten.

The parties will hereinafter be referred to as ‘Company X et al’ and ‘MPAC’.
ABCD International is a stakeholder in this case.
The hearing was held in one of the rooms of the Vergadercentrum Noord Holland meeting centre in Amsterdam.
Those present were: M.M.H. Schrijvers, LL.M. (Chairman), Prof. E.E. Konijn, LL.M., M.D. Achterveld, LL.M. (members of the Board of Appeal) and M.L Biesmont, LL.M. (secretary).
In addition, the following were also present:
– Company X et al, represented by R. Oxtel, LL.M.
– MPAC, represented by prof. Bert de Kraan and J.K.L. Porter
– ABCD International, represented by R. Markenburg
In addition, a number of stakeholders were also present.
The Chairman opened the hearing. Before he called on Mr Oxtel to speak, he noted that the parties and ABCD International were informed on 20 March 2011 about a possible conflict of interest with respect to the Chairman and the Secretary. The parties and ABCD International were given the opportunity to make any objections to the hearing taking place on 23 March 2011. The Chairman once again apologised for the delay in informing the parties and ABCD International about this. He noted that the hearing would continue to take place because neither the parties nor ABCD International had raised any objections against it.
With reference to this, Ms Porter noted that ‘she was displeased’ with the course of events and in particular the delay in being notified. She confirmed that the hearing could proceed.
The Chairman then gave the floor to Mr Oxtel, who outlined the views of Company X et al based on his pleadings.
Subsequently, the Chairman gave the floor to Mr de Kraan, who explained the views of MPAC based on his pleadings.
Following these explanations, the Chairman and Mr Achterveld asked Mr de Kraan a number of questions. These questions pertained to the responsibility of MPAC, and what MPAC would do if it were determined that there were in fact ‘nonconformities’ in national ABCD systems. Mr de Kraan explained that MPAC has a flexible approach, in which the context is observed when it comes to the criteria, but a strict approach when it comes to principles. With regard to the penalties for nonconformities, he indicated that several penalties are conceivable, depending on whether the national ABCD system and subsequently ABCD International itself had already taken steps with respect to said nonconformities.

Source text - Dutch 2.1 Van deze overeenkomst maken deel uit de ‘ROZ ALGEMENE BEPALINGEN HUUROVEREENKOMST KANTOORRUIMTE en andere bedrijfsruimte in de zin van artikel 7:230A BW’, gedeponeerd bij de griffie van de rechtbank te Den Haag op 11 juli 2003 en aldaar ingeschreven onder nummer 72/2003, hierna te noemen 'algemene bepalingen'.
De inhoud van deze algemene bepalingen is partijen bekend.
Huurder en verhuurder hebben een exemplaar van de algemene bepalingen ontvangen.
2.2 De algemene bepalingen waarnaar in artikel 2.1 wordt verwezen, zijn van toepassing behoudens voor zover daarvan in deze overeenkomst uitdrukkelijk is afgeweken of toepassing daarvan ten aanzien van het gehuurde niet mogelijk is.
Duur, verlenging en opzegging
3.1 Deze overeenkomst is aangegaan voor de duur van tien (10) jaar, ingaande op 1 april 2010 of zoveel later als huurder en verhuurder overeenkomen, en lopende tot en met 31 maart 2020 althans tot tien (10) jaar na de daadwerkelijke ingangsdatum van deze huurovereenkomst.
3.2 Na het verstrijken van de in artikel 3.1 genoemde periode wordt deze overeenkomst voortgezet voor een aansluitende periode van vijf (5) jaar, derhalve tot en met 31 maart 2025, waarbij alleen de huurder het recht heeft de huurovereenkomst, met in acht neming van de in artikel 3.3 geldende opzegtermijn, op te zeggen.
Translation - English 2.1 The ‘GENERAL TERMS AND CONDITIONS FOR LEASING OF OFFICE SPACE and other business premises within the meaning of Section 230a of Book 7 of the Dutch Civil Code’ (of the ROZ Real Estate Council of the Netherlands), deposited at the office of the District Court of The Hague on 11 July 2003 and registered there under number 72/2003 – hereinafter referred to as the ‘General Conditions’ – form part of this Lease Agreement.
Parties are familiar with the contents of these General Conditions.
Lessor and Lessee have each received a copy of said General Conditions.
2.2 The General Conditions referred to in 2.1 are applicable except insofar as they are expressly deviated from in this agreement or their applicability in relation to the Leased Space is not possible.
Duration, extension, and termination
3.1 This Lease Agreement is entered into for the period of ten (10) years, commencing on 1 April 2010 or such later date as agreed on by Lessor and Lessee, and continues up to and including 31 March 2020, at least until ten years after the actual commencement date of this Agreement.
3.2 Following the expiry of the period referred to in 3.1, this Agreement will be extended for a contiguous period of 5 years, that is, up to and including 31 March 2025. Only Lessee has the possibility to terminate this Lease Agreement, with observance of the notice period stipulated under Article 3.3.

Dit document is een Bijlage bij de overeenkomst met kenmerk X (verder te noemen De Overeenkomst) tussen de leverancier en Company X. In de afstemming met de leverancier worden, indien van toepassing, uitzonderingen en/of aanvullende afspraken gemaakt en opgenomen in een bijlage bij de Overeenkomst en/of indien van toepassing een Deelovereenkomst of Nadere Overeenkomst.
Company X verplicht zich de Wijzigingsprocedure op de Overeenkomst te volgen en de leverancier hier vroegtijdig over te informeren en te betrekken wanneer er sprake kan zijn van eventuele consequenties voor de naleving van de Overeenkomst en de Agreement.

Introduction
This document is an Appendix to the Agreement with reference X (hereinafter referred to as ‘the Agreement’) between the Supplier and Company X. The objective of this compliance agreement (hereinafter referred to as ‘Compliance Agreement’) is to agree on how Company X expects the Supplier to manage compliance issues.
As a financial institution, Company X is managed in an ethical and controlled manner. Company X is at all times ultimately responsible for the outsourcing of services to third parties. Company X therefore considers that the Supplier is an extension of Company X as a financial institution, where the laws and regulations that are applicable to Company X also apply to the Supplier. The Supplier is expected to have transparently and demonstrably introduced a clear set of verifiable requirements for the provision of Services to Company X in order to guarantee ethical, continuous, reliable, and secure service to Company X.
This Compliance Agreement provides the framework and expectations, and constitutes the minimum basis with which the Supplier must comply.
In the coordination with the Supplier, where appropriate, exceptions and/or additional agreements are made and included in an appendix to the Agreement and/or where appropriate a Subagreement or Further Agreement.
Company X undertakes to follow the Amendment Procedure for the Agreement and inform the Supplier about this in good time, and involve it should there be any possible consequences for compliance with the Agreement and the Compliance Agreement.

VERKLARINGEN EN GARANTIES VAN DE VERKOPERS
1. BEKWAAMHEID
1.1 De Verkopers hebben de volledige rechts- en handelingsbekwaamheid en bevoegdheid om deze Overeenkomst te ondertekenen en hun respectievelijke verbintenissen onder deze Overeenkomst aan te gaan en uit te voeren.
1.2 De Verkopers zijn vennootschappen die geldig werden opgericht en bestaan en geldig werden geregistreerd bij de respectievelijke registers en onder de respectievelijke nummers vermeld op pagina 1 van deze Overeenkomst.
1.3 Geen van de Verkopers is in staat van faillissement of in vereffening of het voorwerp van een gerechtelijke reorganisatie of depistageonderzoek, noch werden zij onder het toezicht geplaatst van een voorlopig bewindvoerder, en hiertoe is geen besluit genomen noch enige procedure aangevat.
1.4 De Overeenkomst vormt voor de Verkopers een voor hen geldige en bindende overeenkomst en is afdwingbaar tegen de Verkopers in overeenstemming met haar bepalingen.
2. GEEN SCHENDING
Het sluiten en uitvoeren van de Overeenkomst leidt niet tot een schending van enige wetgeving of regelgeving die op de Verkopers of de Vennootschappen van toepassing is of van de statuten van de Verkopers of de Vennootschappen.
3. VENNOOTSCHAPPEN
3.1 Elk van de Vennootschappen is een vennootschap, die behoorlijk en geldig is opgericht en geldig bestaat naar Belgisch recht en geldig geregistreerd is bij de Kruispuntbank voor Ondernemingen onder de ondernemingsnummers [•] ([•]) en [•] ([•]).
3.2 Geen van de Vennootschappen is in staat van faillissement of in vereffening, maakt het voorwerp van een gerechtelijke reorganisatie of depistageonderzoek, noch werden zij onder het toezicht geplaatst van een voorlopig bewindvoerder, en hiertoe is geen besluit genomen noch enige procedure aangevat.
4. GEEN DEELNAMES IN ANDERE PERSONEN

1. AUTHORITY
1.1 The Sellers have the full legal and contractual capacity and authority required to sign this Agreement and to enter into and perform their respective obligations and commitments under this Agreement.
1.2 The Sellers are companies that were established and exist legally and were validly registered in the relevant registers, under the respective numbers listed on page 1 of this Agreement.
1.3 None of the Sellers are in liquidation or being wound up or the subject of a judicial reorganisation (‘gerechtelijke reorganisatie’) or investigation by the commercial court (‘depistage-onderzoek’), nor have they been placed under the supervision of an interim administrator, and no decision has been taken or proceedings instituted to this end.

2. NO BREACH
The conclusion and performance of the Agreement will not result in a breach of any laws or regulations that apply to the Sellers or the Companies, or the articles of association of the Sellers or the Companies.
3. COMPANIES
3.1 Each of the Companies is and will remain properly and validly incorporated under Belgian law and is validly registered with the Crossroads Bank for Enterprises (‘Kruispuntbank voor Ondernemingen’) under enterprise numbers [•] ([•]) and [•] ([•]).
3.2 None of the Companies are in liquidation or being wound up or the subject of a judicial reorganisation (‘gerechtelijke reorganisatie’) or investigation by the commercial court (‘depistage-onderzoek’), nor have the Companies been placed under the supervision of an interim administrator, and no decision has been taken or proceedings instituted to this end.
4. NO PARTICIPATING INTERESTS IN OTHER ENTITIES
