‘’ Terms and conditions for credits (General Loan Terms)
1. The basis for the business transaction with xxxx Bank AG (formerly xxxx Deutschland AG) is the terms and conditions of the bank in its respective version.
2. All collateral is liable regardless of the terms mentioned in number 19 of the "Allgemeine Geschaftsbedingungen (terms and conditions)" in the lien- and insurance rights for all the claims resulting from business transactions with the bank, especially for those resulting from current invoices, promissory notes (even if issued by a third party), assignments or legal subrogations. Multiple borrowers are liable as the joint debtor.

6. Additional conditions for promissory note discount credits:
The bank reserves the right to acquire or to reject any offered promissory notes after validating its creditworthiness. The bank is also entitled to return already acquired promissory notes before maturity in return of the full promissory note's amount, if the bank assesses the drawee's creditworthiness as not sufficient anymore. Eventually, it is the banks discretion to discontinue the acquisition of promissory notes and therefore to allow the discount credit to expire. Promissory note credits in principle will only be acquired as trade bills which abide by the regulations of the "Deutsche Bundesbank" and that have preferably three, but at least two signatures of known credit worthy obligors.’’
