1. بأنه يملك الصلاحية والسلطة المطلوبة لإبرام اتفاقية الاندماج والوفاء بالالتزامات المترتبة بمقتضاها وإتمام الصفقات المتوخاة منها ؛
2. بأن الالتزامات المترتبة عليه بموجب اتفاقية الاندماج تشكل تعهدات مُلزمة بمقتضى أحكامها؛ و
3. وأن توقيع اتفاقية الاندماج وتسليمها وأداء الالتزامات المترتبة عليها لن يؤدي إلى انتهاك جوهري لأي حكم من أحكام الوثائق التأسيسية لكل طرف.
3. باستثناء الإفصاح النسبي، يضمن كل طرف للطرف الآخر ويتعهد له:
توقيع اتفاقية الاندماج وتسليمها
2. بأن الالتزامات المترتبة عليه بموجب اتفاقية الاندماج تشكل تعهدات مُلزمة بمقتضى أحكامها؛ و
3. وأن توقيع اتفاقية الاندماج وتسليمها وأداء الالتزامات المترتبة عليها لن يؤدي إلى انتهاك جوهري لأي حكم من أحكام الوثائق التأسيسية لكل طرف.
