NON-EXCLUSIVE
DISTRIBUTOR AGREEMENT
This non-exclusive distributor agreement made as of the 24th day of November 2021 (the effective date), by and between PEMAKS Pnömatik ve Hidrolik Silindir San. Tic. Ith. Ihr. Ltd. Sti., a company organized and existing under the laws of Turkey, with headquarter at Çerkeşli OSB Mah. İMES 10. Cad. No:9 41455 Dilovası/Kocaeli and PneuCo Ltd., a company organized and existing under the laws of the UK located in 15 Temple Road Stowmarkt Suffolk IP14 1AT, United Kingdom.
PRELIMINARY STATEMENTS
1. PEMAKS is in the business of manufacturing and selling various types of automation components as defined in Exhibit A hereto, which exhibit may be updated by PEMAKS from time to time at its sole discretion ("Products"). PEMAKS desires to have the Products marketed and distributed by Distributor in the Territory (as that term is defined below).
2. Distributor is in the business of, and has experience in, marketing and selling various automation products. Distributor desires to market and distribute the Products in the Territory.
In consideration of the promises made herein, PEMAKS and Distributor hereby agree as follows:

No:9 41455 Dilovası/Kocaeli adresinde yer alan PEMAKS Pnömatik ve Hidrolik Silindir San. Tic. Ith. Ihr. Ltd. Sti. ile Birleşik Krallık yasalarına göre kurulmuş ve faaliyet gösteren bir şirket olan, 15 Temple Road Stowmarkt Suffolk IP14 1AT, Birleşik Krallık, adresinde yer alan PneuCo Ltd. arasında yapılmıştır.
ÖN İFADELER
1. PEMAKS, Açıklama A kısmında belirtildiği gibi çeşitli türden otomasyon bileşenleri üretmekte ve satmaktadır. Bahsi geçen açıklama kısmının içeriği PEMAKS tarafından zaman içerisinde kendi takdirine göre güncellenebilir (“Ürünler”). PEMAKS, Ürünler’in Satış Bölgesi’ndeki Distribütör (bu terimin tanımı aşağıda yapılmıştır) tarafından pazarlanması ve dağıtımının yapılmasını talep etmektedir.
2. Distribütör çeşitli otomasyon bileşenleri satmakta ve pazarlamaktadır ve bu konuda deneyim sahibidir. Distribütör, Ürünleri Satış Bölgesi’nde pazarlamak ve dağıtımını yapmak istemektedir.
Burada verilen taahhütleri göz önünde tutarak, PEMAKS ve Distribütör aşağıdaki şekilde mutabakata varmış bulunmaktadır:
